Aside from the specialist intellectual property and IT areas covered elsewhere, our business is built on advising clients, large and small, on all types of trading arrangements. By “trading arrangements” we mean all types of commercial agreements between businesses, or between businesses and their customers, such as:
- Terms and conditions of sale and purchase;
- Agency and distribution arrangements (whether UK or international);
- Partnering, collaboration and revenue sharing;
- Setting up or joining a franchise network;
Our expertise isn’t confined to these categories though. Our team has looked at some weird and wonderful trading agreements in its time, from buying mouse mats in Kenya to establishing incubation centres in Cheshire.

Drafting Style
We have a very distinctive approach at Shipleys. We understand legal jargon and legalese, but we think this kind of “over-lawyered” drafting often gets in the way. We prefer to keep things in clear, plain English. Our clients prefer it that way too.
